Terms of Service

By accessing or using Grid (the “Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

Grid is an Instagram content-planning tool. It lets you plan, schedule, and collaborate on Instagram content before publishing.

Grid is plan-only. Grid does not post to Instagram on your behalf. You manually publish your content to Instagram from your own device using your own Instagram credentials. Grid sends reminders before scheduled times and provides a clipboard-ready format for you to copy.

• You must be at least 13 years old to use Grid.
• One account per person. Don't create multiple accounts to bypass tier limits.
• You are responsible for keeping your sign-in email address secure. Magic-link tokens delivered to that address grant access to your account.
• You are responsible for all activity that happens under your account.

You agree not to:

• Use Grid to violate any applicable law or regulation.
• Use Grid to harass, stalk, threaten, or harm any individual or group.
• Reverse-engineer, scrape, or attempt to bypass any security or rate-limiting mechanism in the Service.
• Attempt to gain unauthorized access to other users' workspaces or data.
• Share your account with others. To collaborate, invite them to your workspace as members.

• Grid uses publicly available Instagram data via third-party providers. Grid does not log into Instagram on your behalf.
• Grid is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. “Instagram” is a trademark of Meta Platforms; we use the term descriptively.
• We cannot guarantee Instagram sync uptime. Meta may temporarily restrict or block third-party access to public profile data at their discretion. When that happens, Grid's sync functionality may be degraded or unavailable until access is restored.
• You agree that Grid is not liable if Meta bans, shadow-bans, restricts, or otherwise affects YOUR Instagram account based on your use of Grid or any other tool. Compliance with Instagram's own Terms of Use is your responsibility.

• Your content: you retain all rights to content you create in or upload to Grid (captions, assets, drafts, comments, brand voice prompts).
• Our platform: Grid retains all rights to the Service itself, including code, design, and trademarks.
• Limited license: by using Grid, you grant us a non-exclusive, worldwide, royalty-free license to display, store, and process your content within the Service to the extent necessary to provide the Service to you.

• Free tier is free forever, subject to tier limits described in the product.
• Pro and Team tiers are paid subscriptions billed in advance.
• Monthly subscriptions: cancel anytime; access continues through the end of the current billing period. No partial refunds for unused time.
• Annual subscriptions: paid upfront for 12 months. No refunds for partial periods. Cancellation stops auto-renewal at the end of the current term.
• Pricing changes: we may change pricing with at least 30 days notice via email to existing subscribers. Price changes take effect at the start of your next billing period.
• Failed payments: we will retry charges up to 3 times. After the third failure, your workspace is downgraded to the Free tier; data is preserved subject to Free-tier storage and account limits.

• You can delete your account anytime via Settings → Account.
• We can terminate or suspend accounts that violate these terms. Where reasonable, we will provide notice and an opportunity to cure before termination.
• Upon termination, your account data is deleted within 30 days. Backups may retain data for a limited additional period required by our hosting providers.

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee uninterrupted access, error-free operation, or that defects will be corrected. Instagram data accuracy depends on our third-party providers and on Meta's public-profile availability; we do not guarantee freshness, completeness, or correctness of third-party data.

To the maximum extent permitted by applicable law:

• Grid's aggregate liability for any claim arising out of or related to the Service shall not exceed the total fees you paid us in the 12 months preceding the claim.
• Grid is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data.
• Grid is not liable for losses related to Instagram account bans, follower-count changes, engagement changes, or other platform-level decisions made by Meta.

You agree to defend, indemnify, and hold harmless Grid and its operators from any claim, demand, or damages (including reasonable attorneys' fees) arising from your misuse of the Service or your violation of these terms — including but not limited to violations of Instagram's Terms of Use caused by your own actions.

These terms are governed by the laws of the State of Nevada, USA. Governing-law jurisdiction subject to legal review before public launch. Any dispute arising under these terms shall be resolved in courts of competent jurisdiction located in Nevada, USA.

We may update these terms from time to time. Material changes will be announced via email to registered users with at least 14 days notice before taking effect. Continued use after the effective date constitutes acceptance.
